Except as otherwise expressly set forth herein, all notices under this Agreement shall be in writing and deemed given upon receipt. In the event of an uncured material breach, the non-breaching party may terminate immediately.
"Either party may terminate this Agreement for convenience upon sixty (60) days prior written notice, subject to payment of accrued, non-cancellable commitments."
Upon effective termination, all proprietary licenses granted hereunder shall immediately revert, and each party shall promptly return or certify destruction of all Confidential Information within thirty (30) calendar days.
